BY CLICKING "I AGREE," "I ACCEPT," OR BY OTHERWISE ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.

1. Eligibility and Age Verification

By accepting these Terms, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. If you are under the age of eighteen (18), you are not permitted to use the Platform. By using the Platform, you affirm that you meet this age requirement.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("Candidate," "you," or "your") and Relevana, Inc. ("Company," "we," "us," or "our") governing your use of our AI-assisted video interview platform (the "Platform"). Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.

3. Description of Services

The Platform utilizes artificial intelligence-powered video interviewing software that may include one or more of the following features: (a) automated video and audio recording of interview sessions; (b) AI-generated or AI-assisted interview questions; (c) speech-to-text transcription; and (d) other analytical tools designed to assist in evaluating candidate responses. The Platform does not capture any biometric data or use any type of facial geometry or facial recognition technology.

4. Recording Consent

You acknowledge and expressly consent to the recording of your interview session in its entirety, including all video, audio, and screen-sharing content. You understand that these recordings will be stored, processed, and used as described in these Terms. By proceeding with the interview, you waive any claim or objection to such recording.

5. AI Processing and Evaluation

You acknowledge and agree that your interview responses, including verbal answers and written responses captured during the interview, will be processed through artificial intelligence models for the purpose of evaluation. The Platform will not process any behavioral data or facial expressions through artificial intelligence models. This AI-assisted evaluation may analyze factors such as response content, communication skills, and other job-relevant criteria to assist employers and their hiring personnel in evaluating candidate responses as part of the recruitment process. You consent to such processing and evaluation.

6. Use of Interview Materials

Your interview recording, including all video, audio, transcriptions, and any AI-generated analyses or assessments (collectively, "Interview Materials"), will be used for recruitment and hiring purposes. This includes evaluating your qualifications for the position for which you have applied, as well as any other current or future positions for which you may be considered.

7. Internal Sharing and Disclosure

You acknowledge and agree that your Interview Materials may be shared with (a) the prospective employer to whom you have applied; (b) human resources personnel, hiring managers, interview panel members, and other individuals involved in making employment decisions; and (c) third-party service providers who assist in the operation of the Platform. Such sharing and disclosure shall be subject to our Privacy Policy located at www.relevana.ai/privacypolicy. The Company will implement reasonable administrative, technical, and physical safeguards to protect your Interview Materials from unauthorized access or disclosure.

8. Bias Mitigation

The Company is committed to fair and equitable hiring practices. As part of our AI-assisted interview process, we employ bias mitigation procedures designed to reduce the potential for discrimination based on race, gender, age, disability, or other protected characteristics.

YOU ACKNOWLEDGE AND AGREE THAT THESE BIAS MITIGATION EFFORTS REPRESENT THE COMPANY'S BEST EFFORTS TO ENSURE FAIRNESS IN THE EVALUATION PROCESS. WHILE THE COMPANY STRIVES TO MINIMIZE BIAS IN ITS AI SYSTEMS, NO TECHNOLOGY CAN GUARANTEE THE COMPLETE ELIMINATION OF BIAS, AND THE COMPANY MAKES NO WARRANTY OR GUARANTEE REGARDING THE ABSOLUTE ABSENCE OF BIAS IN ITS EVALUATION PROCESSES.

9. Communications

By participating in an interview conducted through the Platform, you acknowledge that Relevana may send electronic communications related to your use of the Platform and the interview process. These communications may include interview scheduling information, system notifications, technical notices, or other service-related messages necessary for the operation of the Platform.

Relevana does not use candidate information for independent marketing purposes. Candidate information processed through the Platform is provided by or on behalf of the employer using the Services, and the employer determines the purposes for which that information is used. Because these communications are necessary for the functioning of the Services and the interview process, you may not opt out of service-related communications.

10. Privacy Data Retention

Your video recording and personal information will be subject to our Privacy Policy. If you do not agree with the terms of our Privacy Policy, you should not access or use the Platform. The Company may retain your Interview Materials, including recordings and transcripts, for as long as reasonably necessary to operate, maintain, and improve the Platform, to support recruiting and hiring activities, and to comply with applicable legal and recordkeeping requirements. In some cases, Interview Materials may be retained for extended periods as part of the Company's systems used to improve the performance, reliability, and functionality of the Services. Where appropriate, materials may be securely deleted or de-identified. You may request that your recording and any transcripts associated with your interview be deleted by contacting us at [email protected], subject to applicable legal obligations.

11. Intellectual Property

The Platform and all content, features, and functionality thereof, including but not limited to all software, algorithms, text, graphics, logos, and trademarks, are owned by the Company or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for the purpose of participating in the interview process.

12. Prohibited Conduct

You agree not to (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to the Platform or its systems; (c) interfere with or disrupt the operation of the Platform; (d) misrepresent your identity or qualifications; (e) record, copy, or distribute your interview or any Platform content without authorization; or (f) use automated tools to access or interact with the Platform.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE PLATFORM; (B) ANY HIRING DECISION MADE BASED ON YOUR INTERVIEW; OR (C) ANY OTHER MATTER RELATING TO THE PLATFORM.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms.

16. Withdrawal of Consent; Request Deletion

You may withdraw your consent, request deletion of your video recording and/or transcript, or terminate your use of the Platform at any time by providing written notice to [email protected]. Please note that withdrawal of consent may affect your ability to continue in the recruitment process for positions where the prospective employer has determined that AI-assisted video interviewing is a required component of candidate evaluation. Withdrawal of consent does not affect the lawfulness of processing conducted prior to withdrawal.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior agreements and understandings.
