Terms of Service
Effective as of March 11, 2026
These Terms of Service (these "Terms") govern access to and use of the Relevana platform and any related services (collectively, the "Services") by Customer and any individuals authorized to use the Services under Customer's account ("Authorized Users"). Capitalized terms used but not defined in these Terms have the meanings set out in the Master Services Agreement between Customer and Relevana (the "Agreement").
By accessing or using any part of the Services you agree to be bound by the Terms then in effect with the applicable contracting entity set forth below. If you do not agree, you may not access or use the Services.
The Terms hereby incorporate by reference the terms of the Agreement. If you are accessing or using the Services in your capacity as an employee or other representative of the Customer, you agree to the Terms on behalf of yourself and such Customer, and you represent and warrant that you have the authority to bind such Customer to the Terms.
Access Credentials
Access is provided through unique credentials supplied by Relevana or Customer's administrators. Users must keep credentials confidential and are responsible for activities under their accounts. Customer is responsible for configuring role-based access and promptly deprovisioning former personnel. Relevana may require multi-factor authentication and other security measures.
Permitted Use
The Services may be used solely for Customer's internal lawful hiring and recruiting workflows, consistent with the Documentation and these Terms. The Services are decision-support tools and are not intended to be the sole basis for any adverse employment action. Relevana is not an agent of you or the Customer and has no decision-making authority.
Users must comply with all applicable laws, including those relating to privacy, employment, fair hiring, anti-discrimination, automated decision-making tools, and recordings/biometrics. Customer will maintain documented human oversight of any use of the Services to inform employment-related decisions, including maintaining decision logs and reviewing model-assisted outputs prior to use. Customer is solely responsible for providing all required notices and obtaining and documenting all necessary consents from individuals, including for resume processing, automated analysis, and video recording/transcription and analysis. Relevana will make available configuration options and high-level documentation reasonably necessary for Customer to meet applicable assessment, notice, and consent requirements.
AI Explainability and Output Disclaimer
You acknowledge and agree that the Services utilize artificial intelligence and machine learning models, which are inherently probabilistic and may not produce outputs that are fully explainable or interpretable. Relevana does not guarantee that the reasoning or internal logic of any model output can be provided or reconstructed. Outputs may vary for similar or identical inputs, and Relevana makes no warranty that results will be consistent across candidates or use cases. You are solely responsible for interpreting and evaluating all outputs and for making any final decisions based on such outputs.
Third Party AI Providers and Infrastructure
You understand that the Services may rely on third-party AI models, platforms, or infrastructure, and that the performance, availability, and quality of the Services may be affected by the actions or outages of such third-party providers. Relevana disclaims any liability for interruptions, errors, or variability in the Services arising from third-party dependencies, including but not limited to upstream outages, model changes, or service modifications by such providers.
Bias and Fairness Disclaimer
While Relevana endeavors to design and operate its Services in accordance with applicable laws and industry standards, Relevana does not represent or warrant that the Services or their outputs are free from bias or will eliminate discriminatory outcomes. No warranty is made as to the fairness, neutrality, or non-discriminatory nature of any model or output. Customer remains solely responsible for all employment-related decisions and for ensuring compliance with applicable anti-discrimination and fair hiring laws.
Beta Features
From time to time, Relevana may make available certain features or functionality on a beta, preview, or experimental basis ("Beta Features"). Beta Features are provided "as is," without warranty of any kind, and may be modified, suspended, or discontinued at any time without notice. Relevana makes no representations or guarantees regarding the performance, reliability, or continued availability of Beta Features, and you assume all risks associated with their use.
Model and Feature Changes
Relevana may improve, update, or modify models and features. Relevana will provide reasonable advance notice of material changes likely to degrade functionality in a material manner or deprecate features on which Customer reasonably relies and will provide migration guidance or configuration options where feasible.
Compliance with Law; Prohibited Conduct
You agree to comply with all applicable laws. You must not, and must not permit others to, copy, modify, decompile, reverse engineer, or create derivative works of the Services.
Inputs and Outputs; No Professional Advice
Customer is solely responsible for the accuracy, quality, and legality of all inputs (e.g., job descriptions, indicators, interview questions). Outputs are provided for informational purposes only and must be independently reviewed and verified by qualified personnel before any reliance or use. Outputs may be used internally by Customer for permitted business purposes and may be reproduced and distributed internally as reasonably necessary for such purposes. The Services do not provide legal, compliance, or HR advice. Relevana does not warrant the accuracy, completeness, or reliability of any outputs, including any parsing or transcription, and expressly disclaims all responsibility for any decisions or actions taken or not taken by Customer based on such outputs. Customer will not rely on outputs as the sole basis for any adverse employment decision.
Video Interview Recording; Consent; Biometrics
Users must obtain and document all required consents for recording and transcribing interviews and, where applicable, for any processing that could be characterized as biometric identifiers or information under applicable law. Customer must configure retention and deletion schedules consistent with applicable law and policy.
You are responsible for providing any necessary accommodations to permit video recording as required by law. You shall only use the recordings for your internal hiring purposes.
Content Rights
As between the parties, Customer retains ownership of Customer Content and grants Relevana the rights necessary to provide and improve the Services, as set forth in the Agreement. Relevana may use de-identified and aggregated data derived from Customer's use of the Services (excluding any Personal Data in identifiable form) to maintain, secure, and improve the Services, develop analytics, and generate insights, provided that no such data identifies Customer or any individual. Relevana and its licensors retain all rights in the Services, Documentation, taxonomies, ontologies, models, and related materials.
Feedback
If Customer provides suggestions or feedback, Relevana may use them without restriction or obligation.
Confidentiality
Users must treat non-public elements of the Services, including models, and Documentation, as Confidential Information and may not disclose them except as permitted by the Agreement. Each party's confidentiality obligations also apply to non-public business, technical, and security information disclosed by the other party in connection with the Services.
Suspension; Termination
Relevana may suspend access for material violations of these Terms, imminent security risks, or non-payment in accordance with the Agreement. Unless prohibited by law or necessary to prevent imminent harm, Relevana will provide notice of suspension and will use commercially reasonable efforts to limit the suspension to the affected portion and to promptly restore access once the issue is cured. Upon termination, access will cease and data will be handled per the Agreement.
Relevana may change these Terms as needed. If Relevana materially changes these Terms, it will use reasonable efforts to notify you unless prohibited by law or in an emergency situation. Any revised Terms will also be posted with the Services. Your access to or use of the Services following any such changes to the Terms will constitute your affirmative acceptance of such changes. If you disagree with the updated Terms, you should stop using the Services.
